The new standard
in board meeting
preparation.
Prospero Board elevates director preparation with artificial intelligence. Every response cites its source — or states that the information is not available. 100% European infrastructure.
Design partnership underway
Being developed with board directors, General Counsel, and board secretariats of Italian listed companies
Board portals distribute documents. Who helps understand them?
Hundreds of pages for every meeting. CSRD, regulatory requirements, industrial plans, committee reports. Directors receive everything. The time to study it all is simply not there. And no tool, until today, has addressed this problem.
An unprecedented regulatory burden
CSRD, AI Act, evolving Corporate Governance Codes, proliferation of board committees — the director's scope of responsibility expands with every term. The volume of materials to master before each meeting has grown exponentially.
Compressed timelines, expanding board packs
Materials multiply, but the time to study them stays the same. The board secretariat is managing an operational complexity that today's tools — designed to distribute documents, not to understand them — cannot handle.
Portals distribute. None prepare.
Existing board portals are archives: they upload files, collect signatures, track access. But they do not answer the question that matters: has the director truly understood the materials they received?
From distribution to comprehension
The first operational module is Board Induction: a structured preparation path for board meetings. Directors receive documents from the secretariat. The platform guides them through four progressive levels of depth.
The founding principle: Citation or Silence
Every response cites the page and section of the source document. If information is not present in the uploaded materials, the platform states it explicitly. No fabricated answers. Ever.
Your documents, your governance
The platform works exclusively on the materials you upload: board packs, resolutions, minutes, committee reports. No generic databases, no external sources. Responses come from your documents — and nowhere else.
The portal distributes documents. Prospero elevates preparation.
Orientation
What is this about?
In a few minutes, the director has the complete picture: agenda topics, resolutions to approve, relevant regulatory context. The starting point for a focused reading, not a scattered one.
Comprehension
What are the key facts?
Relevant data emerges from documents with clarity: significant variations, comparisons with prior periods, trends that deserve attention. The director grasps the substance without getting lost in the volume.
Critical judgment
What is missing? What are the risks?
Information gaps, unsupported assumptions, inconsistencies across documents: the platform surfaces them. The director decides what to explore further and what to bring to the boardroom.
Action
Which questions to bring to the board?
Concrete questions, grounded in the materials, ready for the meeting. Not generic — specific to the context, the sector, the data examined. The director arrives at the board meeting with the right questions.
Walk into the boardroom with the right questions.
Prospero transforms board preparation from passive reading to active study. Directors build their own understanding, guided by a structured method that always cites the source.
The substance of every topic, with sources
For every agenda item, the key data, signals to explore, and precise page references. Not a generic summary — an analysis that highlights what matters and flags what's missing.

Scientific foundation
The framework is based on Harvard research (Kestin et al., 2025): structured tutoring with sequential scaffolding, self-pacing, and cited responses significantly improves comprehension of complex materials compared to traditional individual study.
Beyond the board pack
Prospero works on any document relevant to the director: Corporate Governance Codes, CONSOB regulations, CSRD requirements, internal policies, ECB directives. Board preparation starts with meeting materials — but it does not stop there.
The governance you deserve. Without the busywork you don't.
The board secretariat is the operational heart of governance. Prospero automates distribution, onboarding, and preparation monitoring — so you can focus on the quality of the Board's work, not on logistics.

Board pack: from archive to intelligence
The secretary uploads documents, organizes them by agenda item, and distributes them with a click. The platform generates the structural map and summary. The board pack becomes navigable, not just accessible.

Who prepared, how much, on what
The secretariat has full visibility into board preparation: progress by director, documents reviewed, areas still uncovered. Reminders become targeted and timely — no more generic emails.
Your documents remain yours. Always.
In governance, confidentiality is not a feature — it's a prerequisite. Prospero Board's entire infrastructure is designed so that data never leaves the European Union.
100% European infrastructure
AI processing on AWS Bedrock in Milan (eu-south-1). Database and storage in Frankfurt. No data ever transits to non-EU servers — ever.
Zero training on your data
AWS Bedrock terms of service explicitly prohibit it. Your documents are processed and returned — they are not retained, shared, or used for any other purpose.
Organization-level isolation
Row Level Security active on every database table. Each organization accesses only its own data. AES-256 encryption at rest, TLS 1.3 in transit.
MFA and audit trail
Two-factor authentication available. Every access and operation is logged. GDPR-compliant Data Processing Agreement (DPA) available on request.

What people ask us.
Three steps. Zero risk.
We're building Prospero Board together with those who will use it: General Counsel and board secretariats of major listed companies. The first step is a test on public documents, with no confidential data and no commitments.
Ten minutes with your public documents
We upload your company's Corporate Governance Report and Remuneration Report to the platform — documents you already know inside out. No confidential data, no IT approval needed. We show you Board Induction on real materials.
A dedicated environment for your board
If the initial test convinces you, we set up a private environment for your organization. Onboarding of a small group: the board secretariat and two or three directors.
Early access and joint development
Design partners access the platform ahead of launch and help define its evolution. One feedback session per month — 30 minutes to share observations and priorities. Features are developed based on the real needs of those who govern.
Spots in the program are limited.
We select a small number of listed companies to develop the platform with. If your board's governance has the right level of complexity, let's talk.
